Graft — Terms of Use

These terms are a legal agreement between you and Capstone Software Ltd ("we", "us")

for your use of the Graft mobile app, website and related services (the

"Service"). By creating an account or using the Service you agree to them. If

you do not agree, do not use the Service.

1. What Graft is — and is not

Graft is a **record-keeping and bookkeeping tool** for self-employed people in

the UK construction industry. It helps you record income, expenses, mileage

and CIS deductions, produce invoices, and prepare figures for Making Tax

Digital and Self Assessment.

Graft is **not** an accountant, tax adviser or financial adviser, and using it

is **not** a substitute for professional advice. Estimates, tax positions,

refund figures and pot suggestions shown in the app are **guidance only**,

generated automatically from the information you enter. They are not a

statement of your actual tax liability and are not a promise of any refund.

You should have your figures checked by a qualified accountant and confirm

your final tax position with HMRC before relying on it.

2. Your responsibilities

3. Invoices you create

Graft provides an invoice **template** and calculates CIS and VAT figures from

what you enter. We are **not a party** to any invoice, contract or payment

between you and your customer, and we are not responsible for whether you are

paid. You are responsible for the correctness of each invoice, including your

own business details, UTR, VAT status and the amounts charged.

4. Third-party services

The Service connects to third parties on your instruction — for example HMRC,

Xero, banking providers and payment processors. Your use of those services is

governed by their own terms. We are not responsible for their availability,

acts or omissions.

5. Availability

We work to keep the Service available and accurate but provide it **"as is"**

and **"as available"**, without warranties of any kind to the fullest extent

the law allows. We do not warrant that the Service will be uninterrupted,

error-free, or that any figure it produces is correct for your circumstances.

6. Our liability

Nothing in these terms limits liability that cannot be limited by law

(including for death or personal injury caused by negligence, or for fraud).

Subject to that, and to the fullest extent permitted by law:

from information you entered incorrectly or failed to enter. Responsibility

Nothing in the Service is regulated financial advice, and Graft does not hold

or move your money.

7. Fees, trial and cancellation

Any subscription fees, free-trial terms and renewal dates are shown in the app

before you pay. You can cancel at any time; cancellation stops future billing

and takes effect at the end of the current paid period. Fees already paid are

non-refundable except where the law requires otherwise.

8. Your data

We process your personal data as described in our Privacy Policy. You keep

ownership of the data you enter. You can export your records and can ask us to

delete your account.

9. Changes

We may update the Service and these terms. If we make a material change we

will tell you and, where appropriate, ask you to accept the updated terms.

Continuing to use the Service after a change means you accept it.

10. Ending your use

You may stop using the Service and close your account at any time. We may

suspend or end your access if you break these terms or use the Service in a

way that risks harm to others or to us.

11. Law

These terms are governed by the law of England and Wales, and the courts of

England and Wales have exclusive jurisdiction, unless mandatory local law

where you live provides otherwise.
